I135Offences by bodies corporate

Where an offence under this Part committed by a body corporate is proved to have been committed with the consent or connivance of, or is attributable to any neglect on the part of—
a
a director, manager, or secretary of the body corporate, or
b
a person purporting to act in such a capacity,
that person as well as the body corporate commits the offence and is liable to be proceeded against and punished accordingly.

The reference to the director, manager or secretary of the body corporate includes a reference—
a
to any similar officer of the body;
b
where the body is a body corporate whose affairs are managed by its members, to any officer or member of the body.
