Cases where Keeper must reject application under section 21
1
(1)
This paragraph applies where—
(a)
a person applies under section 21 for registration of a qualifying registrable deed, and
(b)
if the application is accepted by the Keeper—
(i)
the name of an overseas entity would be entered as proprietor in the proprietorship section of the title sheet of a registered plot of land, or
(ii)
an overseas entity would be the tenant under a registered lease.
(2)
The Keeper must reject the application unless the overseas entity is—
(a)
a registered overseas entity, or
(b)
an exempt overseas entity.
(3)
Sub-paragraph (2) does not apply where—
(a)
the application is made by a person other than the overseas entity referred to in sub-paragraph (1)(b)(i), and
(b)
the deed in respect of which the application is made is a lease or an assignation of a lease the subjects of which consist of or form part of an unregistered plot of land of which that overseas entity is the proprietor.

(1)
This paragraph applies where—
(a)
a person applies under section 21 for registration of a qualifying registrable deed or a registrable deed which is a standard security,
(b)
the granter of the deed is an overseas entity whose interest is registered, having been so registered on or after 8 December 2014, and
(c)
as at the date of delivery of the deed, the entity was not a registered overseas entity or an exempt overseas entity.
(2)
The Keeper must reject the application unless one of the following conditions is met—
(a)
the application is made—
(i)
in pursuance of a statutory obligation or court order, or
(ii)
in respect of a transfer of ownership or other event that occurs by operation of law,
(b)
the application is made in pursuance of a contract entered into before the later of the dates mentioned in sub-paragraph (3);
(c)
the application is made in pursuance of the exercise of a power of sale or lease by the creditor in a standard security that was registered on or after 8 December 2014;
(d)
the application is made in pursuance of the exercise of a right conferred on a body by relevant legislation to buy land or the interest of a tenant under a lease;
(e)
the Scottish Ministers give consent under paragraph 7(2) to the registration of the deed;
(f)
the deed is granted by a specified insolvency practitioner in specified circumstances.
(3)
The dates are—
(a)
the date on which the granter’s interest was registered;
(b)
the commencement date.
(4)
In sub-paragraph (2)(d), “relevant legislation” means Part 2, 3 or 3A of the Land Reform (Scotland) Act 2003 or Part 5 of the Land Reform (Scotland) Act 2016 (being provisions which confer on certain community bodies etc. the right to buy certain types of land or the interest of a tenant under a lease of certain types of land).
(5)
“specified circumstances” means circumstances specified in regulations made by the Scottish Ministers for the purposes of that paragraph;
“specified insolvency practitioner” means an insolvency practitioner of a description specified in regulations made by the Scottish Ministers for the purposes of that paragraph.
Cases where Keeper must reject application to register notice of title

(1)
This paragraph applies where—
(a)
by virtue of section 4A of the Conveyancing (Scotland) Act 1924, a person makes an application under section 21 for registration of a notice of title completing title in respect of a qualifying registrable deed, and
(b)
if the application is accepted by the Keeper—
(i)
the name of an overseas entity would be entered as proprietor in the proprietorship section of the title sheet of a registered plot of land, or
(ii)
an overseas entity would be the tenant under a registered lease.
(2)
The Keeper must reject the application unless the overseas entity is—
(a)
a registered overseas entity, or
(b)
an exempt overseas entity.
(3)
Sub-paragraph (2) does not apply where—
(a)
the application is made by a person other than the overseas entity referred to in sub-paragraph (1)(b)(i), and
(b)
the deed in respect of which title is being completed is a lease or an assignation of a lease the subjects of which consist of or form part of an unregistered plot of land of which that overseas entity is the proprietor.

(1)
This paragraph applies where—
(a)
by virtue of section 4A of the Conveyancing (Scotland) Act 1924, a person makes an application under section 21 for registration of a notice of title completing title in respect of—
(i)
a qualifying registrable deed, or
(ii)
a registrable deed which is a standard security,
(b)
the granter of the deed is an overseas entity whose interest is registered, having been so registered on or after 8 December 2014, and
(c)
as at the date on which the application for registration of the notice of title was made, the entity was not a registered overseas entity or an exempt overseas entity.
(2)
The Keeper must reject the application unless one of the following conditions is met—
(a)
the application is made—
(i)
in pursuance of a statutory obligation or court order, or
(ii)
in respect of a transfer of ownership or other event that occurs by operation of law,
(b)
the application is made in pursuance of a contract entered into before the later of the dates mentioned in sub-paragraph (3);

In sub-paragraph (2)(d), “relevant legislation” means Part 2, 3 or 3A of the Land Reform (Scotland) Act 2003 or Part 5 of the Land Reform (Scotland) Act 2016 (being provisions which confer on certain community bodies etc. the right to buy certain types of land or the interest of a tenant under a lease of certain types of land).
(5)
Case where Keeper must reject prescriptive application

(1)
This paragraph applies where—
(a)
an application under section 21 is received by the Keeper by virtue of section 43(1) or (5), and
(b)
if the application is accepted by the Keeper—
(i)
the name of an overseas entity would be entered as proprietor in the proprietorship section of the title sheet of a registered plot of land, and
(ii)
that entry would be marked as provisional under section 44(1).
(2)
The Keeper must reject the application unless the overseas entity is—
(a)
a registered overseas entity, or
(b)
an exempt overseas entity.
Case where Keeper must reject voluntary application

(1)
This paragraph applies where—
(a)
an application is made under section 27, and
(b)
if the application is accepted by the Keeper, the name of an overseas entity would be entered as proprietor in the proprietorship section of the title sheet of a registered plot of land.
(2)
The Keeper must reject the application unless the overseas entity is—
(a)
a registered overseas entity, or
(b)
an exempt overseas entity.
Consent to registration of certain deeds that cannot otherwise be registered

(1)
(2)
The Scottish Ministers may consent to registration of the deed if satisfied—
(a)
that at the time of delivery of the deed the person in whose favour it was granted did not know, and could not reasonably have been expected to know, of the duty imposed on the Keeper by paragraph 2(2), and
(b)
that in all the circumstances it would be unjust for the deed not to be registered.
(3)
(4)
The Scottish Ministers may consent to registration of the notice of title if satisfied—
(a)
that at the time of delivery of the qualifying registrable deed or (as the case may be) registrable deed which is a standard security the person in whose favour the deed was granted did not know, and could not reasonably have been expected to know, of the duty imposed on the Keeper by paragraph 4(2), and
(b)
that in all the circumstances it would be unjust for the notice of title not to be registered.

The regulations may, for example, make provision about—
(a)
who may apply;
(b)
evidence;
(c)
time limits.
Partially executed deeds

Interpretation

(1)
In this schedule—
“the commencement date” means the day on which Part 1 of Schedule 4 to the Economic Crime (Transparency and Enforcement) Act 2022 comes into force;
“exempt overseas entity” means an overseas entity of a description specified in regulations under section 34(6) of the Economic Crime (Transparency and Enforcement) Act 2022;
“overseas entity” has the meaning given by section 2 of the Economic Crime (Transparency and Enforcement) Act 2022;
“qualifying registrable deed” means a registrable deed which is—
(a)
a disposition;
(b)
a lease;
(c)
an assignation of a lease;
“register of overseas entities” means the register kept under section 3 of the Economic Crime (Transparency and Enforcement) Act 2022;
(2)
For the purposes of this Schedule, an overseas entity that fails to comply with the duty in section 7 of the Economic Crime (Transparency and Enforcement) Act 2022 (updating duty) is not to be treated as being a “registered overseas entity” until it remedies the failure.
(3)
For the purpose of sub-paragraph (2), an overseas entity “remedies” the failure when it delivers the statements and information mentioned in section 7(1)(a), (b) and (c) of the 2022 Act.

the Keeper is to make such changes to the other title sheets mentioned in that paragraph and to the cadastral map as are consequential upon its being so constituted, and
(b)
the respective shares of the proprietors of the area of land need only be entered in the title sheet if they were entered in the existing title sheets.
Common areas: developments begun before designated day

If, by reason of being owned in common, the selfsame area of land (in this paragraph and in paragraph 11 referred to as “area A”) is, immediately before the designated day, included in two or more existing title sheets and on or after that day title sheets (in this paragraph and in paragraph 10 referred to as the “new title sheets”) are to be constituted for plots of land the proprietors of which will (qua proprietors of those plots) be comprised within those who own area A in common, area A may, by reason of being owned in common, be included in the new title sheets.

Where the respective shares of the proprietors were not entered in the existing title sheets they need not be entered in the new title sheets.

For the period beginning with the designated day and ending with the day before the date prescribed by an order under section 48(3), for an application under section 21(1) to register F6a deed (except a sublease or a notice of title) which affects a lease title sheet where the subjects of the lease consist of or form part of an unregistered plot of land, the conditions in section 26 apply with the effect that—
(a)
in subsection (1)(b), “plot of land” is to be read as “lease”,
(b)
in subsection (1)(c), “title sheet” is to be read as “lease title sheet”,
(c)
subsections (1)(d), (3), (4) and (5) do not apply, and
(d)
in subsection (2), “plot” in both places it occurs is to be read as “lease”.
Archive record

The Keeper must include in the archive record—
(a)
all copies of documents upon which the terms of the existing title sheets are founded,
(b)
all copies of documents which relate to past states of title sheets and title plans, and
(c)
such other information, in whatever form, as so relates,
in so far as those copy documents, and as the case may be that other information, is held by the Keeper immediately before the designated day.
Pending applications

Nothing in this Act, other than provision made by or by virtue of section 35, affects an application under section 4 (applications for registration) of the Land Registration (Scotland) Act 1979 (c.33) (the “1979 Act”) provided that the date of receipt of the application is before the designated day.

An application by virtue of section 9(1) of the 1979 Act (rectification of the register) falls if it has not been determined by the Keeper as at the designated day.
Claims under the 1979 Act

Where, immediately before the designated day, a person has an entitlement to claim indemnity under section 12(1) of the 1979 Act (indemnity in respect of loss) but either—
(a)
no such claim has been made, or
(b)
any such claim as has been made is as yet undetermined,
nothing in this Act affects the entitlement or claim.

Nothing in this Act affects any entitlement to reimbursement under subsection (1) of section 13 of the 1979 Act (reimbursement of certain expenditure) or any claim made by virtue of that subsection.
Bijural inaccuracies
17
If there is in the register, immediately before the designated day, an inaccuracy which the Keeper has power to rectify under section 9 of the 1979 Act (rectification of the register) then, as from that day—
(a)
any person whose rights in land would have been affected by such rectification has such rights (if any) in the land as that person would have if the power had been exercised, and
(b)
the register is inaccurate in so far as it does not show those rights as so affected.

For the purpose of determining whether the Keeper has the power mentioned in paragraphs 17 and 22, the person registered as proprietor of the land is to be presumed to be in possession unless the contrary is shown.

Where, by virtue of paragraph 17—
(a)
a right is lost, compensation is payable under Part 7 as if warranty had been granted under section 73 in accepting an application by the person in whom the right was vested, or
(b)
an encumbrance is revived, compensation is so payable as if such warranty had been granted in respect of an omission of the encumbrance.

Except that—
(a)
compensation is not so payable in so far as, had the Keeper rectified the inaccuracy before the designated day, either a right to indemnity under section 12 of the 1979 Act (indemnity in respect of loss) was excluded by virtue of subsection (2) of that section or there would, by virtue of subsection (3) of that section, have been no entitlement to such indemnity,
(b)
any compensation so payable is to be reduced to the extent that, had the Keeper rectified the inaccuracy before the designated day, the amount of any indemnity would have been reduced by virtue of section 13(4) of that Act (reduction proportionate to the extent to which a claimant has contributed, by fraudulent or careless act or omission, to loss), and
(c)
in construing Part 7 for the purposes of paragraph 19, paragraphs (b) and (c) of section 78 are to be disregarded.

Section 77(4) and (5) applies in relation to a payment made by virtue of paragraph 19(a) as that section applies in relation to any other payment under Part 7.
