Power of Secretary of State where notice given under paragraph 4 or 5

This paragraph applies where the Secretary of State receives from an EC company a notice given in accordance with paragraph 4 or 5 above.

The Secretary of State may, before the end of the period of three months beginning with the day on which he receives the notice, direct that Part II of this Act shall apply to the company.

Before giving a direction under sub-paragraph (2) above, the Secretary of State shall serve on the company a written notice stating—
a
that he is considering giving a direction and particulars of the ground on which he is considering it; and
b
that the company may, within the period of one month from the date of service of the notice, make written representations to the Secretary of State and, if the company so requests, oral representations to an officer of the Department of Trade and Industry appointed for the purpose by the Secretary of State.

Where representations are made in response to a notice under sub-paragraph (3) above, the Secretary of State shall take them into account before giving a direction.
