Railways Act 1993

An Act to provide for the appointment and functions of a Rail Regulator and a Director of Passenger Rail Franchising and of users’ consultative committees for the railway industry and for certain ferry services; to make new provision with respect to the provision of railway services and the persons by whom they are to be provided or who are to secure their provision; to make provision for and in connection with the grant and acquisition of rights over, and the disposal or other transfer and vesting of, any property, rights or liabilities by means of which railway services are, or are to be, provided; to amend the functions of the British Railways Board; to make provision with respect to the safety of railways and the protection of railway employees and members of the public from personal injury and other risks arising from the construction or operation of railways; to make further provision with respect to transport police; to make provision with respect to certain railway pension schemes; to make provision for and in connection with the payment of grants and subsidies in connection with railways and in connection with the provision of facilities for freight haulage by inland waterway; to make provision in relation to tramways and other guided transport systems; and for connected purposes.

Franchising of passenger services

I1 C325F9England and Wales: Public sector operators not to be franchisees.

The following bodies and persons (in this Part referred to as “public sector operators”) shall not be franchisees—

a

any Minister of the Crown, Government department or other emanation of the Crown;

b

any local authority;

the Greater London Authority;

F2bc

Transport for London;

c

any ~~F5metropolitan county passenger transport authority~~F5Integrated Transport Authority for an integrated transport area in England;

F7ca

any combined authority established under section 103 of the Local Democracy, Economic Development and Construction Act 2009;

d

any body corporate whose members are appointed by a Minister of the Crown, a Government department, a local authorityF3, the Greater London Authority, Transport for London or ~~F11a metropolitan county passenger transport authority~~ F8, an Integrated Transport Authority for an integrated transport area in England or a combined authority or by a body corporate whose members are so appointed;

a company—

i

a majority of whose issued shares are held by or on behalf of any of the bodies or persons falling within paragraphs (a) to (d) above;

ii

in which the majority of the voting rights are held by or on behalf of any of those bodies or persons;

iii

a majority of whose board of directors can be appointed or removed by any of those bodies or persons; or

iv

in which the majority of the voting rights are controlled by any of those bodies or persons, pursuant to an agreement with other persons;

f

a subsidiary of a company falling within paragraph (e) above.

Expressions used in sub-paragraphs (i) to (iv) of subsection (1)(e) that are defined for the purposes of the Companies Acts (see section 1174 of, and Schedule 8 to, the Companies Act 2006) have the same meaning in those sub-paragraphs.
