The Secretary of State, in exercise of the powers conferred by sections 15 and 17 of the Limited Liability Partnerships Act 2000(1), makes the following Regulations:
1. These Regulations may be cited as the Limited Liability Partnerships (Amendment) (No. 2) Regulations 2009 and come into force on 14th December 2009.
2.—(1) The Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009(2) are amended as follows.
(2) In regulation 8, in the text of section 54(1)(a) of the Companies Act 2006 (names suggesting connection with government or public authority)(3) as applied to limited liability partnerships, after “any part of the Scottish Administration” insert “, the Welsh Assembly Government”.

These Regulations amend the application of section 54 of the Companies Act 2006 (c.46) to limited liability partnerships (LLPs). That section has been applied to LLPs by regulation 8 of the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009 (S.I. 2009/1804) (“the Principal Regulations”). Section 54 as so applied places restrictions on LLPs being registered with names suggesting a connection with government or public authorities.
Article 9 of the Government of Wales Act 2006 (Consequential Modifications, Transitional Provisions and Saving) Order 2009 (S.I. 2009/2958) has amended section 54(1)(a) of the Companies Act 2006 in relation to companies to include reference to the Welsh Assembly Government. These Regulations extend that amendment to LLPs.

Copies are also available from the Department for Business, Innovation and Skills, Corporate Law and Governance Directorate, 1 Victoria Street, London, SW1H 0ET. No Impact Assessment has been produced in respect of these amending Regulations because it is not expected that the amendment will cause any additional costs.
