The Treasury must from time to time—

a

carry out a review of the Prospectus Regulations 201114 and these Regulations,

b

set out the conclusions of the review in a report, and

c

publish the report.

In carrying out the review the Treasury must, so far as is reasonable, have regard to how those parts of Directive 2003/71/EC of the European Parliament and of the Council of 4 November 2003 on the prospectus to be published when securities are offered to the public or admitted to trading that are amended by Directive 2010/73/EU of the European Parliament and of the Council of 24 November 2010 (which is implemented by means of the instruments mentioned in paragraph (1)(a) and rules made by the Financial Services Authority under the 2000 Act) are implemented in other member States.

The report must in particular—

a

set out the objectives intended to be achieved by the regulatory system established by the instruments mentioned in paragraph (1)(a),

b

assess the extent to which those objectives are achieved, and

c

assess whether those objectives remain appropriate and, if so, the extent to which they could be achieved with a system that imposes less regulation.

The first report under this regulation must be published not later than 30th June 2017.

Reports under this regulation are afterwards to be published at intervals not exceeding five years.
