SCHEDULE 1U.K.THE PERFORMANCE OF FUNCTIONS RELATING TO THE REGISTRATION OF DOCUMENTS BY THE REGISTRAR

PART 1U.K.INTERPRETATION

Meaning of “the EC Regulation” F1... and words and expressions used in those RegulationsU.K.

1.—(1) In this Schedule—

the “EC Regulation” means Council Regulation 2157/2001/EC of 8 October 2001 on the Statute for a European Company;

(2) Words and expressions used in the [F3enactment] set out in sub-paragraph (1) [F4and the EEIG Regulations] have the same meaning when used in this Schedule as they have in those enactments.

Meaning of “same day registration”U.K.

2.  For the purposes of this Schedule documents are delivered for “same day registration” if—

(a)a request for same day registration and all documents required to be delivered to the registrar in connection with that registration are received by the registrar by 3.00 pm on the day in question; and

(b)the registration is completed on that day.

3.  Where, in relation to any matter in respect of which a fee is payable under this Schedule, the means of delivery to the registrar of the documents required to be delivered in relation to that matter, or the form of those documents are not specified, that fee is payable only in respect of documents that are delivered in hard copy form.

4.  Where, in relation to any matter in respect of which a fee is payable under this Schedule, no provision is made for same day registration of the documents required to be delivered to the registrar in relation to that matter, that fee is only payable in respect of the delivery of documents other than for same day registration.U.K.

5.  In respect of the performance by the registrar of his functions in relation to the registration of documents delivered to him in respect of EEIGs, the fee specified in relation to each matter below is payable on the registration of the documents so delivered relating to that matter–

(a)for the registration under regulation 9 of the EEIG Regulations M1 of an EEIG;

(b)for the registration under regulation 12 of the EEIG Regulations M2 of an EEIG that is situating an establishment in the United Kingdom but whose official address is outside the United Kingdom;

(c)for the registration of a change of name of an EEIG under regulation 11 of the EEIG Regulations M3;

£10.00

(d)for the registration of a charge under paragraph 26 of Schedule 4 to the EEIG Regulations M4.

6.  In respect of the performance by the registrar of his functions in relation to the registration of documents delivered to him in respect of SEs, the fee specified in relation to each matter below is payable on the registration of the documents so delivered relating to that matter–

(i)by merger in accordance with Article 2(1) of the EC Regulation,

(iii)by the formation of a subsidiary SE in accordance with Article 2(3) of the EC Regulation,

(iv)by the transformation of a public company in accordance with Article 2(4) of the EC Regulation,

(v)by the formation of a subsidiary SE in accordance with Article 3(2) of the EC Regulation;

(b)for the registration of a public company by the conversion of an SE in accordance with Article 66 of the EC Regulation;

£20.00

(c)for the registration of an SE on the transfer of its registered office to the United Kingdom in accordance with Article 8 of the EC Regulation.
