88.  In regulation 2 (interpretation)—

(a) in the definition of “SE”, for “which is to be, or is, registered in the United Kingdom” substitute “ , as it had effect immediately before [F1 IP completion day], which was registered in the United Kingdom ”;

(b) after the definition of “SE” insert—

““UK Societas” means an SE which on [F2 IP completion day] converted to a United Kingdom Societas within the meaning of Council Regulation 2157/2001/EC of 8 October 2001 on the Statute of a European Company.”.
