27.—(1) Section 97 (appointment by FCA of persons to carry out investigations) is amended as follows.
(2) In subsection (1)(a)(1)—
(a)at the end of sub-paragraph (i) omit “or”,
(b)in sub-paragraph (ii) omit “prospectus directive or the”, and for “directive;” substitute “directive, or”,
(c)after sub-paragraph (ii) insert—
“(iii)any provision of, or made in accordance with, the prospectus regulation;”.
(3) In subsection (1)(b)—
(a)at the end of sub-paragraph (i) omit “or”,
(b)in sub-paragraph (ii) omit “prospectus directive or the”, and for “directive;” substitute “directive, or”,
(c)after sub-paragraph (ii) insert—
“(iii)any provision of, or made in accordance with, the prospectus regulation;”.
(4) Omit subsection (1)(d).
(5) In subsection (3)(c), for “those mentioned in subsection (1)(d)” substitute “the offences under section 85”.

Paragraphs (a) and (b) were substituted by paragraph 6 of Schedule 15 to the Companies Act 2006 Schedule 15, paragraph 6, and subsequently amended by S.I. 2015/1755.

Explanatory Memorandum sets out a brief statement of the purpose of a Statutory Instrument and provides information about its policy objective and policy implications.
