Tramgwyddau gan gyrff corfforaethol
22.—(1) Os dangosir bod tramgwydd a wnaed gan gorff corfforaethol—
(a)wedi'i gyflawni drwy gydsyniad neu ymoddefiad swyddog; neu
(b)i'w briodoli i unrhyw esgeulustod ar ei ran,
bydd y swyddog hwnnw, yn ogystal â'r corff corfforaethol, yn euog o dramgwydd a bydd yn agored i gael ei erlyn a'i gosbi yn unol â hynny.
(2) Os bydd materion corff corfforaethol yn cael eu rheoli gan ei aelodau, mae paragraff (1) yn gymwys mewn perthynas â gweithredoedd a diffyg gweithredoedd aelod mewn cysylltiad â'i swyddogaethau rheoli fel pe bai'r aelod hwnnw yn un o gyfarwyddwyr y corff.
(3) ystyr “swyddog”, mewn perthynas â chorff corfforaethol, yw cyfarwyddwr, aelod o'r pwyllgor rheoli, prif weithredwr, rheolwr, ysgrifennydd neu swyddog tebyg arall i'r corff, neu berson sy'n honni ei fod yn gweithredu yn rhinwedd y cyfryw swydd.
